PLEASE READ THE FOLLOWING TERMS OF SERVICE AGREEMENT CAREFULLY. BY ACCESSING OR USING OUR SITES AND OUR SERVICES, YOU HEREBY AGREE TO BE BOUND BY THE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IT IS THE RESPONSIBILITY OF YOU, THE USER, CUSTOMER, OR PROSPECTIVE CUSTOMER TO READ THE TERMS AND CONDITIONS BEFORE PROCEEDING TO USE THIS SITE. IF YOU DO NOT EXPRESSLY AGREE TO ALL OF THE TERMS AND CONDITIONS, THEN PLEASE DO NOT ACCESS OR USE OUR SITES OR OUR SERVICES. THIS TERMS OF SERVICE AGREEMENT IS EFFECTIVE AS OF 10/23/2017 AND WAS LAST UPDATED ON 10/09/2026.

ACCEPTANCE OF TERMS

The following Terms of Service Agreement (the "TOS") is a legally binding agreement that shall govern the relationship with our users and others which may interact or interface with Comdity LLC, the operator of Shipfixing, located at 7901 4th St N, Ste 300, Saint Petersburg, FL 33702-4399, and our subsidiaries and affiliates, in association with the use of the Shipfixing website, which includes www.shipfixing.com, (the "Site") and its Services, which shall be defined below.

DESCRIPTION OF WEBSITE SERVICES OFFERED

Shipfixing is a business-to-business online platform for ship chartering. It helps charterers and cargo owners find suitable ships, and ship operators (the persons or companies that commercially operate ships, whether or not they own them) receive requests and make offers. Any and all visitors to our site, despite whether they are registered or not, shall be deemed as "users" of the herein contained Services provided for the purpose of this TOS. Once an individual register's for our Services, through the process of creating an account, the user shall then be considered a "member." The user and/or member acknowledges and agrees that the Services provided and made available through our website and applications, which may include some mobile applications and that those applications may be made available on various social media networking sites and numerous other platforms and downloadable programs, are the sole property of Comdity LLC. At its discretion, Comdity LLC may offer additional website Services and/or products, or update, modify or revise any current content and Services, and this Agreement shall apply to any and all additional Services and/or products and any and all updated, modified or revised Services unless otherwise stipulated. Comdity LLC does hereby reserve the right to cancel and cease offering any of the aforementioned Services and/or products. You, as the end user and/or member, acknowledge, accept and agree that Comdity LLC shall not be held liable for any such updates, modifications, revisions, suspensions or discontinuance of any of our Services and/or products. Your continued use of the Services provided, after such posting of any updates, changes, and/or modifications shall constitute your acceptance of such updates, changes and/or modifications, and as such, frequent review of this Agreement and any and all applicable terms and policies should be made by you to ensure you are aware of all terms and policies currently in effect. Should you not agree to the updated, revised or modified terms, you must stop using the provided Services forthwith.

Furthermore, the user and/or member understands, acknowledges and agrees that the Services offered shall be provided "AS IS" and as such Comdity LLC shall not assume any responsibility or obligation for the timeliness, missed delivery, deletion and/or any failure to store user content, communication or personalization settings.

ROLE OF SHIPFIXING

Shipfixing is a technology platform that helps charterers, ship operators and brokers find each other. Comdity LLC is not a shipbroker, agent, carrier, charterer or ship owner, and is not a party to any charter party, contract of affreightment, recap or other agreement that members negotiate or conclude through the Services. Any such agreement is made only between the members concerned, who are solely responsible for its terms and its performance, including freight, hire, demurrage, claims and payments.

Comdity LLC does not guarantee that a request will receive offers, that an offer will lead to a fixture, or that any member, ship or cargo is as described. Offers and indications made through the Services are not binding until the parties confirm the main terms in writing between themselves. Members are responsible for their own due diligence, including checking counterparties, ships (class, P&I, certificates, vetting) and cargo before concluding any agreement.

COMPANY ACCOUNTS

Shipfixing accounts are for businesses. You must sign up with an email address at your own company's domain; addresses at free email providers are not accepted. By creating a company account you confirm that you are authorised to act for that company and to accept these Terms on its behalf.

The person who creates a company account becomes its administrator. Administrators can invite colleagues with their own company email addresses, give them roles, and remove them. Each person must use their own account; accounts must not be shared. The company is responsible for everything done by its members through the Services, and for removing members who leave the company.

REQUESTS, MATCHING AND OFFERS

When you submit a ship or cargo request, you confirm that it describes a genuine, current requirement and that the information you give is accurate. Requests made only to collect market information, or with false details, are not allowed.

We look for ships that are suitable for each request and send the request by email to the ship operators of those ships. Your name, email address and company name are not included in that email; ship operators reply through Shipfixing and we forward their offers to you. Your contact details are given to a ship operator only when you start a negotiation with that ship operator; from then on you and the ship operator deal with each other directly, and Shipfixing does not take part in that negotiation. Ship operators may ask us at any time to stop sending them requests.

A posting is shown on the platform to signed-in ship operators whose ships are suitable, without the name of the posting company or of the person who posted it; a ship operator sees them only after the charterer starts a negotiation with that ship operator. An offer is shown to the charterer who received it, together with the name of the offering company. The charterer and the ship operator may send each other counteroffers on an offer; a counteroffer changes the price only, is valid for the time the sender chooses (15 minutes to 24 hours), and expires by itself. When a counteroffer is accepted the negotiation starts, and the company that accepts shares its company name, personal name and email address with the other company.

SHIP DATA AND POSITIONS

Ship particulars, ownership details and positions shown or used by the Services come from public registers, AIS position services, industry sources and members. This data can be incomplete, delayed or wrong, and it is provided "as is" without any warranty. You must not rely on it for navigation, safety or legal purposes, and you should confirm all ship details directly with the ship operator before fixing.

FEES, MEMBERSHIP AND PAYMENT

Shipfixing has four company plans for charterers and cargo owners: Basic (free of charge), Silver, Gold and Platinum. The plan a company needs depends on the size of the ship asked for and the type of charter, as shown on the Plans and prices page; a higher plan includes everything a lower plan offers. Ship operators pay a yearly fee for each ship added to their fleet, by the ship's deadweight. Packs of extra postings can be bought as one-time payments; they do not expire. Contracts of affreightment (COA) are a separate service: contact Shipfixing.

Plans and ship fees are charged in advance, for one year, in U.S. dollars, by card through our payment provider Stripe, and they renew automatically on the same date each year until they are cancelled. Card details are entered on Stripe's page and are not stored by Shipfixing. An administrator of the company can cancel at any time from Manage billing; the plan or fee then stays active until the end of the year already paid and does not renew. A company can move to a higher plan at any time; Stripe charges only the difference for the rest of the year. Moving to a lower plan takes effect only after the current plan has ended. A posting that needs a higher plan is published after the plan is paid; unpaid postings and ships are removed after 7 days.

Payments are not refundable, except where Shipfixing decides otherwise or the law requires a refund. Fees do not include taxes, which are added where they apply. If a renewal payment fails, Stripe tries again for a short time; if it still fails, the company returns to the Basic plan and ships whose fee is unpaid cannot send new offers until payment is made. Open postings and offers are not affected. We may change the prices by giving at least 30 days' notice by email; the new price applies from the next renewal after that notice.

SANCTIONS AND COMPLIANCE

You must not use the Services in connection with any person, company, ship, cargo, port or country that is subject to sanctions or trade restrictions of the United States (including OFAC), the United Nations, the European Union or the United Kingdom, or in any way that would breach those rules, anti-corruption laws or anti-money-laundering laws. You are responsible for screening your counterparties, ships and cargoes and for the legality of the business you conclude. We may refuse, remove or stop forwarding any request, posting or offer, and suspend any account, where we believe these rules may be breached.

EMAILS FROM SHIPFIXING

By using the Services you agree to receive emails that are part of the Services, such as email confirmation links, requests, offers, replies and account notices. These are not marketing emails. We will send you marketing emails only where the law allows it, and you can unsubscribe from them at any time.

REGISTRATION

To register and become a "member" of the Site, you must be at least 18 years of age to enter into and form a legally binding contract. In addition, you must be in good standing and not an individual that has been previously barred from receiving Shipfixing's Services under the laws and statutes of the United States or other applicable jurisdiction.

When you register, Shipfixing collects your name, your company email address and your company name, as described in our Privacy Policy. You can edit your account information at any time. Once you register with Shipfixing and sign in to our Services, you are no longer anonymous to us.

a) furnish factual, correct, current and complete information with regards to yourself as may be requested by the data registration process, and

b) maintain and promptly update your registration and profile information in an effort to maintain accuracy and completeness at all times.

If anyone knowingly provides any information of a false, untrue, inaccurate or incomplete nature, Comdity LLC will have sufficient grounds and rights to suspend or terminate the member in violation of this aspect of the Agreement, and as such refuse any and all current or future use of Shipfixing Services, or any portion thereof.

It is Comdity LLC's priority to ensure the safety and privacy of all its visitors, users and members, especially that of children. Therefore, it is for this reason that the parents of any child under the age of 13 that permit their child or children access to the Shipfixing website platform Services must create a "family" account, which will certify that the individual creating the "family" account is of 18 years of age and as such, the parent or legal guardian of any child or children registered under the "family" account. As the creator of the "family" account, s/he is thereby granting permission for his/her child or children to access the various Services provided, including, but not limited to, message boards, email, and/or instant messaging. It is the parent's and/or legal guardian's responsibility to determine whether any of the Services and/or content provided are age-appropriate for his/her child.

PRIVACY POLICY

Every member's registration data and various other personal information are strictly protected by the Shipfixing Privacy Policy (see the full Privacy Policy at www.shipfixing.com/legal/privacy). As a member, you herein consent to the collection and use of the information provided, including the transfer of information within the United States and/or other countries for storage, processing or use by Comdity LLC and/or our subsidiaries and affiliates.

MEMBER ACCOUNT, USERNAME, PASSWORD AND SECURITY

You shall be responsible for maintaining the secrecy and confidentiality of your password and for all activities that transpire on or within your account. It is your responsibility for any act or omission of any user(s) that access your account information that, if undertaken by you, would be deemed a violation of the TOS. It shall be your responsibility to notify Comdity LLC immediately if you notice any unauthorized access or use of your account or password or any other breach of security. Comdity LLC shall not be held liable for any loss and/or damage arising from any failure to comply with this term and/or condition of the TOS.
